Terms of service

1. About these terms

These terms govern your use of OpenRoster, the hosted workforce operations service at app.openroster.app (the "service"). The service is provided by Liew Chen Tong, trading as CTL Studio ("we", "us"). CTL Studio is a sole proprietorship registered with the Companies Commission of Malaysia (SSM) under registration number 202603269827 (PG0594604-U) and based in Johor, Malaysia.

By creating an account you accept these terms and our privacy policy. If you use the service for an organization, you confirm that you may accept these terms on its behalf.

2. Who may use the service

You must be at least 18 years old to create an account or use the service.

You must give accurate account details, keep your password secret and tell us without delay if you think someone else has used your account. You are responsible for activity under your account.

3. The service, trials and paid plans

OpenRoster is built in stages, and its features change over time. We may add, change or remove features; when a change materially reduces what your organization can do, we tell the organization's owner in advance where we reasonably can.

Each account gets one free trial: its first organization starts a 30-day trial, followed by a 7-day grace period. Any later organization created from the same account starts without a trial and is read-only until a paid plan is active. Paid plans are not available yet, and no payment details are collected. When paid plans open, we will show their prices before anything is charged.

When a trial and its grace period end without a paid plan, the organization becomes read-only: its data stays available to view, but it cannot be changed until a plan is active.

While OpenRoster is in early access, we decide who can create an account. We may pause or end early access for an account or an organization; we tell you by email where we can, and your data is kept until you or we delete it under these terms.

4. Paid plans, cancellation and refunds

This section applies when you subscribe to a paid plan for an organization. Prices are in US dollars (USD) and exclude taxes, as shown on our pricing page. Payments are processed by Stripe. A paid plan is charged in advance for each monthly or yearly period and renews automatically at the end of each period until it is cancelled.

The organization's owner, or a member whose role allows it, can cancel a paid plan at any time on the organization's billing page, and can undo the cancellation until the current period ends. After a cancellation nothing more is charged, and the organization keeps full access until the end of the period already paid for. It then becomes read-only: its data stays available to view and download, but it cannot be changed until a paid plan is active again.

If a renewal payment fails, the organization keeps full access for a 7-day grace period. If the payment has still not succeeded when the grace period ends, the organization becomes read-only in the same way.

Because each account can try OpenRoster free for 30 days before paying, we do not refund payments, in full or in part, for a monthly or yearly period that has started, including when you cancel during that period or stop using the service. We do refund duplicate charges and charges made in error, and we give any refund that applicable law requires. To ask for a refund, email support@openroster.app with the organization's name and the date and amount of the charge. Refunds are paid to the original payment method.

5. Your organization's data

Your organization keeps all rights in the data it enters, such as worker details and contracts. We use that data only to provide the service on your organization's instructions, as its processor. A data processing agreement is available on request.

Your organization is responsible for having the right to collect and enter that data, and for giving its workers and contract signers any notices the law requires.

6. Acceptable use

Do not use the service to break the law, to send unwanted or misleading messages, including through contract emails, to upload harmful code, or to access data or accounts that you are not allowed to access. Do not test, probe or overload the service without our written permission.

We may suspend an account or organization that breaks these rules or puts the service or other users at risk. Where it is safe to do so, we tell you why.

7. Availability and changes

We work to keep the service available and to keep encrypted backups, but we do not promise that it will be uninterrupted or free of errors.

We may update these terms. The version date at the top shows the current text. We tell account holders about material changes by email or in the service before they take effect. If you keep using the service after a change takes effect, you accept the updated terms.

8. Ending your use and ending the service

You may stop using the service at any time.

You can delete your account yourself on your account's security page by entering your password and typing your account's email address. If you own organizations, first hand over each one that others should keep using while it is still active, and delete the others. An organization's owner can delete it in the organization's settings after archiving it, by entering their password and typing the short name in the organization's web address. If you cannot sign in, email privacy@openroster.app from your account's email address: within 7 days we ask you to confirm from the same address, and we complete the deletion within 21 days of your request; the time we wait for your confirmation does not count.

Deletion is permanent and cannot be undone. There is no self-service export: before you archive an organization, download the signed contract PDFs you need, and before you delete your account you can ask privacy@openroster.app for a copy of your personal data. Our privacy policy explains what is deleted and what is kept.

If we decide to stop offering the service, we tell every organization owner by email at least 30 days before it ends. Until then, an organization owner can ask by email to support@openroster.app for a copy of their organization's data, and we send it.

9. Liability

To the extent the law allows, the service is provided "as is", and we are not liable for indirect or consequential loss, or for loss of profit, revenue or data. Nothing in these terms limits liability that cannot be limited by law.

10. Governing law

These terms are governed by the laws of Malaysia, and the courts of Malaysia have jurisdiction over any dispute about them.
